Every individual who holds an approved Director Identification Number (DIN) in India — whether they currently serve on a company's board or not — must complete an annual KYC verification with the Ministry of Corporate Affairs (MCA) by 30 September every year. This annual compliance is called DIN eKYC and is done through Form DIR-3 KYC. Missing this single annual deadline triggers automatic DIN deactivation on 1 October — blocking the director from signing any MCA form, attending board meetings, exercising directorial powers, or being appointed to any new board. The DIN eKYC framework has two filing routes depending on whether the director's details have changed since the last filing. The DIR-3 KYC Web route is an OTP-based online verification — the director logs in, verifies their registered mobile number and email with OTP, and the KYC is complete in minutes with no DSC and no documents. Missing the DIR-3 KYC deadline on 30 September triggers automatic consequences — no notice is required, no warning period is given:
- Automatic DIN deactivation on 1 October: The MCA system automatically marks the DIN as deactivated at the start of the next working day after 30 September. No manual intervention by the ROC is needed — it is a system-driven process
- Cannot sign any MCA form: A director with a deactivated DIN cannot digitally sign any MCA e-form using their DIN — including AOC-4 (Financial Statements), MGT-7 (Annual Return), DIR-8 (Disclosure of Interest), and any other form requiring director DSC. The MCA V3 portal will reject the form if a deactivated DIN is used

If the 30 September deadline was missed and the DIN is now deactivated, the reactivation process is straightforward but requires action — it does not happen automatically:
- Only one route: DIR-3 KYC Full Form — the DIR-3 KYC Web route is not available for deactivated DINs. The full DSC + CA/CS certification route must be used
- Pay ₹5,000 at submission: The flat late fee is payable at the time of filing — not before and not after. It is computed automatically by the MCA V3 system when a deactivated DIN files DIR-3 KYC
- STP processing: The MCA's STP mechanism processes the form automatically — verifying PAN and Aadhaar in real time. On successful verification, the DIN is reactivated without any manual ROC intervention. Reactivation typically happens within the same business day

Director Who Has Resigned — Is DIR-3 KYC Still Required?
This depends on when the resignation was effective:
- If the director resigned before 31 March of the relevant year — and the DIN was not "active" (held by a director of any company) as of 31 March — the DIR-3 KYC requirement for that year may not apply. Verify the MCA system status of the DIN
- If the director resigned after 31 March but before 30 September — the DIN was active as of 31 March; DIR-3 KYC for that year must still be filed by 30 September
- If the director resigned after 30 September — DIR-3 KYC for the current year must be filed before the resignation is fully processed
- A resigned director who holds no directorships at all: their DIN remains on MCA records; the DIR-3 KYC obligation may still exist if the DIN was active as of 31 March. Check MCA portal DIN status to confirm
Foreign National Director — Special Considerations
Foreign nationals serving on Indian company boards must also file DIR-3 KYC annually. The process differs in document requirements:
- Passport (not Aadhaar) is used as the primary identity document — with apostille if required
- Address proof must be from the home country (utility bill, bank statement) — apostilled if from a Hague Convention country
- DIR-3 KYC Full Form is always required for foreign nationals — the Web route cannot be used as it depends on Aadhaar-linked OTP verification which foreign nationals do not have

Designated Partner of an LLP — Same Requirement
LLP Designated Partners hold a DPIN (Designated Partner Identification Number) — which is now fully unified with the DIN system. DIR-3 KYC applies to DPINs in exactly the same way:
- Same deadline: 30 September
- Same two routes: Web (no changes) or Full Form (changes/reactivation)
- Same ₹5,000 late fee for deactivated DPINs
- A deactivated DPIN blocks the Designated Partner from signing Form 8 (Statement of Accounts), Form 11 (Annual Return), and any other LLP MCA form requiring designated partner DSC — creating a full LLP compliance lockout until reactivation
Director Changing Mobile Number or Email — Must Use Full Form
When a director changes their personal mobile number or email ID — even if all other KYC details remain the same — the DIR-3 KYC Full Form (DSC route) must be used:
- The Web route sends OTP to the last registered mobile and email — if those have changed, the director cannot receive OTP and the Web route fails
- Complete the Full Form with the new mobile number and email; verify via OTP to both the new contacts
- After successful submission, the new mobile and email are registered on MCA — future years can use the Web route again (until contact details change again)
