What the engagement demanded.
A fourth-generation wholesale trading family in Kalbadevi had been operating through a combination of an HUF, a partnership firm, and several fixed deposits and properties held informally across family members. As the third generation retired and the fourth took over, it became clear that nobody had a full picture of where the family’s assets sat, which entity owned what, and how income was being routed. Tax filings were fragmented; some assets had not been formally transferred from the HUF despite partition agreements made years earlier; and the partnership deed had not been updated in over a decade — and still listed a family member who had passed away two years prior as an active partner.
How we executed the engagement.
Cross-Entity Asset Inventory
Mapped every asset across the HUF, the partnership firm, and individual family members — commercial properties, fixed deposits, investments, business assets, and liabilities — in a single consolidated record.
Ownership vs Income Mismatch
Identified the critical gap: the HUF still formally held three commercial properties and a portfolio of fixed deposits whose rental and interest income was being reported under individual family member PANs — a mismatch that would be difficult to defend in an assessment.
HUF Partial Partition Deed
Drafted and executed a formal partial partition deed to bring the legal ownership position in line with the family’s actual intention, covering all misaligned properties and investments and updating ownership records accordingly.
Partnership Deed Revision
Revised the partnership deed to remove the deceased partner, restate capital accounts to reflect correct balances, and document the correct active partners running the business.
Prior-Year Return Correction
Reviewed and corrected income tax return positions for the prior two years where the ownership mismatch had caused income to be reported under the wrong PAN, minimizing future notice risk.
