What Are Incorporation and Change Services?
Incorporation and change services are the services of filing the forms that create a company and alter its core particulars with the Registrar of Companies. They sit at two moments in a company's life. The first is formation: reserving a name and incorporating the company. The second is any later change to the fundamentals set at formation — the name itself, the registered office, the type of company, the sole member of an OPC, or the top management. Each of these events is reported to the Registrar in a specific form, and until it is filed, the change does not take effect on the public record.
These forms are grouped together because they share a character: they are event-based rather than periodic, they touch the company's identity rather than its accounts, and most use the INC series of forms or their close relatives. Getting them right matters because they define what the company legally is, and an error or a missed filing here surfaces in every later dealing, from banking to due diligence. Late filing attracts additional fees that grow with the delay, and inconsistencies in these foundational records are exactly what surface in due diligence and banking.

When Do Incorporation and Change Filings Arise?
These are not routine annual returns; they are event-driven filings that define what the company is and how it is set up. Each event maps to a specific form:
Incorporating a New Company
SPICe+ Part A reserves the name; Part B incorporates the company, allotting DINs and issuing PAN and TAN, with GST, EPFO, ESIC, professional tax, and the bank account set up through the linked AGILE-PRO-S form.
Renaming an Existing Company
The RUN service reserves the new name; a special resolution approves the change and the Registrar issues a fresh certificate of incorporation with the new name.
Moving the Registered Office
Filed in INC-22 within 30 days. A shift within the city needs a board resolution; a shift outside it needs a special resolution and, for a state change, Regional Director approval.
Converting the Company's Type
A private-to-public or public-to-private conversion is filed in INC-27, following the required resolutions and, where applicable, Regional Director approval.
OPC Member or Nominee Change
A change in the member or nominee of a One Person Company — a new nominee, or a change of member on death or transfer of shares — is filed in INC-4 within 30 days.
Appointing an MD, WTD or Manager
The appointment of a managing director, whole-time director, or manager is reported to the Registrar in MR-1 within 60 days, placing the KMP appointment on the public record.

How the Pieces Fit
Name, Incorporation and the Core Changes
A company's name is the first thing to be settled and one of the more common things to be changed later, and the two situations use different routes. For a new company, the name is reserved through SPICe+ Part A, the first part of the integrated incorporation form. To change the name of an existing company, the RUN service is used to reserve the new name, after which the change is approved by special resolution and completed with the Registrar, which issues a fresh certificate of incorporation. Getting the right route — and a name that clears both the naming rules and any trademark conflict — is where most name filings succeed or stall.
Once the name is settled, the company is incorporated through SPICe+ Part B, the integrated form that does far more than register the company. In a single filing it allots the directors' DINs, issues the company's PAN and TAN, and, through the linked AGILE-PRO-S form, sets up GST, EPFO, ESIC, professional tax, and the bank account. The electronic Memorandum and Articles of Association are filed with it. The result, on approval, is the certificate of incorporation, and the company exists. Because so much is bundled into this one form, accuracy at incorporation saves a great deal of correction later.
After formation, four filings in this family handle the foundational changes a company may make: a change of registered office in INC-22, a conversion of the company in INC-27, a change in an OPC's member or nominee in INC-4, and the appointment of a managing director, whole-time director, or manager in MR-1. Each carries its own approvals — a board or special resolution, and Regional Director approval where the change reaches across a state line or restricts shareholders' rights.
A worked example: name change plus office move
Suppose a private limited company wants to change its name and, at the same time, shift its registered office to a new city in the same state. The filings run like this:
- The new name is reserved. The new name is reserved through the RUN service, after checking the naming rules and trademark position.
- The name change is approved and filed. A special resolution approves the change, it is filed with the Registrar, and a fresh certificate of incorporation is issued.
- The office change is approved. Because the new office is outside the current city, a special resolution is passed for the shift.
- INC-22 is filed. The change of registered office is filed in INC-22, with proof of the new address, within 30 days.
- The records are updated. The company updates its name and address on its letterhead, seal, registers, and other records to match the new position.
